Indemnification

You agree to defend, indemnify, and hold harmless The Peninsula Guide and its owners, operators, contributors, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

Dispute resolution, arbitration, and class waiver

Before filing any claim, you agree to contact us and attempt informal resolution in good faith for at least thirty (30) days. If unresolved, any dispute arising out of or relating to the Site or these Terms shall be resolved by final and binding individual arbitration administered in Mecklenburg County, North Carolina, under the rules of a recognized arbitration provider, rather than in court — except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property misuse.

You and we each waive any right to a jury trial and any right to participate in a class, collective, or representative action. Any claim must be brought within one (1) year after it arises or it is permanently barred. If the class waiver is found unenforceable, this arbitration section is void in its entirety.

Termination and modification

We may modify, suspend, or discontinue any part of the Site, and may restrict access, at any time and without notice or liability.

Severability, waiver, and entire agreement

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver. These Terms, together with the Legal Disclaimer, Privacy Policy, and Cookie Policy, constitute the entire agreement between you and us regarding the Site and supersede any prior understanding.

Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages, natural events, labor issues, or acts of third-party providers.

Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Subject to the arbitration section above, the exclusive venue for any permitted court action is the state or federal courts located in Mecklenburg County, North Carolina, and you consent to their personal jurisdiction.
